Grant of ordinary shares to employees and officers under bonus share awards

The operation consists of a conditional award of bonus shares to be issued in favour of certain categories of employees and corporate officers of TELEPERFORMANCE (the “Company”) and certain related French and foreign subsidiaries, in accordance with the authorisation granted under the thirtieth resolution of the Joint Ordinary and Extraordinary Shareholders Meeting held on the 1st of June 2006, and limited to 2.30% of the Company’s share capital as of the 1st of June 2006 corresponding to a maximum of 812,185 bonus shares to be awarded at once or on several times, upon decision of the Managing Board.
